Who these terms are between

These Terms of Service are a binding agreement between you and Qlavis, Inc. (“Qlavis,” “we,” “us”), a Delaware corporation, and govern your use of the Qlavis app and the qlavis.app website (together, the “Service”). By creating a Qlavis ID or using the Service, you accept these terms and our Privacy Policy. If you do not agree, do not use the Service. Contact: hello@qlavis.app.

Age and capacity

You must be at least 13 years old to use Qlavis. To use the built-in wallet, you must be at least 18 years old (or the age of majority where you live) — by using the wallet you represent that you are. Because Qlavis collects no personal data, we cannot and do not verify age; these are representations you make to us. You also represent that you are legally able to enter into this agreement and are not barred from using the Service under applicable law.

One device, twelve words, your responsibility

Your Qlavis ID is created on your device: your cryptographic keys are generated there, and your account is bound to that device. There is no phone number, email, or password — and therefore no password reset.

• Your 12-word recovery phrase is the only key to your identity and wallet. It never leaves your device, and we never see it.
• If you lose the phrase and your device, your account and any funds are permanently unrecoverable. Not by you, not by us, not by anyone. Write it down and store it safely offline.
• Never share it. Anyone with your phrase controls your account and your money. Qlavis will never ask you for it — anyone who does is trying to rob you.
• You are responsible for everything that happens through your account and for keeping your device and app lock secure.

What we provide

Qlavis is a post-quantum, end-to-end encrypted messenger with an integrated non-custodial wallet. Your messages, calls, files, and payments are encrypted on your device; we cannot read them, and we run the servers that route them without holding any key to their content. We may add, change, or remove features as the product evolves, and we may suspend the Service where necessary for security or maintenance.

Be lawful. Be decent.

You agree not to use Qlavis to:

• break the law, or violate the rights of others;
• exploit or endanger children in any way — zero tolerance, reported to the authorities where required;
• harass, threaten, defraud, or impersonate anyone;
• send spam, malware, or run phishing schemes;
• interfere with, probe, or disrupt the Service or its security; or
• copy, resell, or reverse-engineer the Service except where the law expressly permits it.

Objectionable content and abusive users are not tolerated. Qlavis is end-to-end encrypted, so we cannot read conversations — but you can block any user instantly and report abuse from inside the app (or email hello@qlavis.app). We review reports and act on them, including removing offenders from the Service. Violations of this section may result in immediate termination of your account.

Self-custody: your keys, your money, your calls

The built-in wallet supports the Stellar and XRP Ledger networks and is fully non-custodial: your keys are derived from your recovery phrase on your device, and only you control your funds. We are a software provider — not a bank, exchange, broker, custodian, or money transmitter, and we never take possession of your assets. By using the wallet you acknowledge that:

• Blockchain transactions are irreversible. Once submitted, a transaction cannot be cancelled, reversed, or refunded by us or anyone. You are responsible for verifying the recipient address, amount, network, and any memo or tag before sending. Funds sent to a wrong or incompatible address are lost.
• Public ledgers are public. Transactions are recorded on decentralized networks that we do not operate or control, permanently and world-readably.
• Digital assets are volatile. Their value can go to zero. You alone bear that risk, and any taxes that arise from your transactions.
• Nothing in Qlavis is financial, investment, legal, or tax advice.

Our software, your content

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service. The software, design, and the Qlavis name and logo belong to Qlavis, Inc. and are protected by intellectual-property law; these terms give you no rights in them beyond that license. What you create and send remains yours — you grant us only the technical permission to transmit and briefly store it in encrypted form, which is all operating the Service requires.

What we depend on but do not control

The Service relies on third parties — Apple (app distribution and push delivery), infrastructure providers, and the public blockchain networks your wallet transacts on. Their services are governed by their own terms, and we are not responsible for them.

The Service is provided “as is”

We build Qlavis with care, but we provide it “as is” and “as available,” without warranties of any kind — express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure against every threat, or that any message, call, or transaction will be delivered or confirmed. End-to-end encryption also means we cannot restore content you lose. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

What we are not liable for

To the maximum extent permitted by law, Qlavis, Inc. and its officers, directors, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, goodwill, or digital assets — including losses caused by a lost recovery phrase, a mistaken or fraudulent transaction, blockchain network behavior, or unauthorized access resulting from your failure to secure your device or phrase. Qlavis is provided free of charge; our total aggregate liability for all claims relating to the Service will not exceed US$100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

If your actions create claims

You agree to indemnify and hold Qlavis, Inc. harmless from claims, damages, and reasonable expenses (including legal fees) arising from your content, your transactions, your use of the Service, or your violation of these terms or of any law or third-party right.

Leaving, and being asked to leave

You can stop using Qlavis at any time and delete your account in-app (Settings → Account → Delete Account). We may suspend or terminate your access if you violate these terms or where necessary to protect the Service or its users. Because the wallet is non-custodial, termination does not touch your funds — your keys derive from your recovery phrase, not from us. Sections that by their nature survive termination (including 06, 07, and 09–14) survive.

Encryption is regulated

Qlavis contains strong encryption and is subject to U.S. export-control and sanctions laws. You represent that you are not located in a country subject to a comprehensive U.S. embargo, that you are not on any U.S. restricted-party or sanctions list, and that you will not use the Service for any purpose prohibited by export-control or sanctions law.

Delaware law; individual arbitration

These terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. Before any formal dispute, contact hello@qlavis.app — most issues are resolved informally.

Any dispute that cannot be resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and you and Qlavis each waive the right to a jury trial and to participate in a class action. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property or security matters. You may opt out of this arbitration provision by emailing hello@qlavis.app within 30 days of first accepting these terms.

Terms that apply because you got Qlavis from the App Store

These terms are between you and Qlavis, Inc. only — not Apple. Apple has no obligation to provide maintenance or support for the app and is not responsible for it or its content; maintenance and support are our responsibility. If the app fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Qlavis, not Apple, is responsible for addressing any claims relating to the app — including product-liability, regulatory, and consumer-protection claims — and any claim that the app infringes third-party intellectual-property rights. Your use must comply with the App Store Terms of Service, including the Usage Rules. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

Updates to these terms

We may update these terms as the product and the law evolve. We will change the “Last updated” date above and, for material changes, give notice in the app or on qlavis.app. Continued use after an update means you accept the revised terms.

The usual, briefly

If part of these terms is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets. These terms and the Privacy Policy are the entire agreement between you and us about the Service.
